This Information Memorandum (IM) is intended solely for the exclusive use of potential lending banks (“The Recipients”) for the participation in a Syndicated Facility (the “Facility”) to be extended to Egypt Hydrocarbon Corporation, hereinafter referred to as “EHC” or the “Borrower”. This memorandum is confidential and may not be reproduced, used or given to any other person or entity – in whole or in part – for any purpose other than that for which it is intended without obtaining prior written approval from the Initial Mandate Lead Arrangers.
This IM has been prepared by our bank and, for information purposes, should be read in conjunction with other information provided by and on behalf of EHC. The information contained herein has been prepared to assist potential lending banks in evaluating the possibility of participating in the Facility and does not purport to be all-inclusive or to contain all of the information that interested banks may require prior to making a lending decision.
In all cases, interested banks should conduct their own investigations and analysis of the Borrower as well as the information set forth in this IM. Our bank makes no representation or warranty as to the accuracy or completeness of the information in this IM and is not liable for any information or representation – expressed or implied – contained in, or for any omission from – this IM or any other written or oral communication transmitted to the Recipient in the course of its evaluation of the Borrower. In this context, this IM is not and should not be construed as a recommendation by our bank to the Recipient to participate in the Facility.
Persons in possession of this IM are to treat it with utmost confidentiality and are required by our bank to adhere to and observe such restriction. This IM and its contents are confidential and are made available strictly on a confidential basis, and therefore, must be held by the Recipients, along with any information that will be made available in connection with further inquires, in complete confidence. This IM may not be reproduced, in whole or in part, nor may it be distributed to any other institutions or persons.
